1. Introduction
These Terms of Use ("Terms") form a legally‑binding agreement between you ("User," "you," or "your") and InfoLoom Systems LLC ("InfoLoom," "we," or "our") governing your access to and use of our website located at https://infoloomsystems.com and any associated sub‑domains (collectively, the "Site") as well as any content, functionality, and services ("Services") offered on or through the Site. By accessing or using our Site or Services you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Definitions
- "Content" means all text, graphics, images, software, code, audio, video, data compilations, and any other form of information capable of being stored in a computer that appears on or forms part of the Site.
- "Client" refers to any business entity that enters into a separate written agreement with InfoLoom for subscription‑based SaaS or consulting Services.
- "User Content" means any information or material uploaded, posted, or otherwise transmitted by you via the Site.
3. Our Services
InfoLoom provides software development, catalog management, and related consulting Services primarily to furniture retailers in the United States. Details of any paid Services will be governed by a separate Master Services Agreement ("MSA") or Statement of Work ("SOW") signed with the relevant Client.
4. Eligibility & Account Security
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Site. You agree to provide accurate, current, and complete information as prompted and to keep such information updated. You are responsible for safeguarding any login credentials and for all activities that occur under your account.
5. Permitted Use
You may use the Site solely for informational purposes and, where applicable, to engage with our Services. You agree not to:
- Copy, reproduce, distribute, or create derivative works from the Site or Content except as expressly permitted.
- Use any automated means (including robots, spiders, or scrapers) to access the Site without our prior written consent.
- Interfere with or disrupt the Site’s security features or attempt to gain unauthorized access to our servers or networks.
- Upload or transmit any malware, harmful code, or unlawful material.
6. Intellectual Property Rights
The Site and all Content are owned or licensed by InfoLoom and protected by United States and international copyright, trademark, and other intellectual‑property laws. We treat the privacy of our Users seriously. Please review our Privacy Policy to learn how we collect, use, and safeguard your information. If you are a Client with a signed MSA or SOW, any confidential information exchanged will be governed by the confidentiality provisions in those agreements.
8. Third‑Party Content & Links
The Site may contain links to third‑party websites or services that are not owned or controlled by InfoLoom. We do not endorse and are not responsible for the content, policies, or practices of any third party. Accessing such sites is at your own risk.
9. Service Availability
We strive to keep the Site operational but do not guarantee uninterrupted or error‑free service. We may suspend, withdraw, or modify any part of the Site without notice for security, maintenance, or other reasonable purposes.
10. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFOLOOM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
12. Indemnification
You agree to indemnify, defend, and hold harmless InfoLoom from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your breach of these Terms or misuse of the Site.
13. Termination
We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to InfoLoom or other users.
14. Modifications to the Terms or Site
We may update these Terms from time to time. Material changes will be indicated by revising the "Effective Date" above. Your continued use of the Site following the posting of revised Terms constitutes acceptance of those changes.
15. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, U.S.A., without regard to its conflicts‑of‑law provisions. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming.
16. Dispute Resolution
Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at info@infoloomsystems.com. If we are unable to resolve the dispute within sixty (60) days, either party may initiate binding arbitration or court proceedings as permitted under Section 15.
